End User License Agreement
For the MRC software and its integration with Intuit QuickBooks.

This End User License Agreement (“Agreement”) is a legal agreement between You (herein referred to as “User,” “You,” or “Your”) and Medical Records Corporation (herein referred to as “Company,” “We,” “Us,” or “Our”) governing your use of the MRC software, including its integration with Intuit QuickBooks, associated services, documentation, updates, and any related online or cloud-based resources (collectively, the “Software”).
By installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree to the terms of this Agreement, do not download, install, or use the Software.
License Grant
Subject to your compliance with this Agreement, Medical Records Corporation grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely for your internal business purposes and in accordance with the Software’s documentation.
License Restrictions
You agree not to:
- Copy, modify, adapt, translate, or create derivative works of the Software.
- Reverse engineer, decompile, disassemble, or attempt to extract the Software’s source code, except where permitted by law.
- Sell, lease, rent, sublicense, distribute, or otherwise transfer the Software to any third party.
- Use the Software in a manner that:
- Violates any applicable law or regulation;
- Interferes with the operation or policies of Intuit QuickBooks;
- Attempts to circumvent security, authentication, or API limitations.
- Remove, alter, or obscure any proprietary notices, labels, or trademarks.
Violation of these restrictions will result in immediate termination of the license agreement between you and MRC.
Integration with QuickBooks
The Software communicates with QuickBooks through Intuit’s APIs to exchange and process data.
- You acknowledge that QuickBooks, Intuit, and related trademarks are the property of Intuit Inc.
- The Software is not affiliated with, endorsed by, or certified by Intuit Inc. unless expressly stated.
- Your use of QuickBooks and its APIs is governed by Intuit’s terms and you are responsible for compliance.
User Data & Privacy
The Software may access, process, store, or transmit your business data to provide integration functionality.
- You retain all ownership of your data.
- You are responsible for the legality, accuracy, and appropriateness of your data.
- Medical Records Corporation implements commercially reasonable security measures, but you acknowledge that no system is completely secure.

Updates & Support
Medical Records Corporation may provide updates, enhancements, patches, bug fixes, or new versions of the Software.
- Updates may be required for continued functionality or compatibility.
- Support is provided at the discretion of the Company and may require additional service fees based on your support plan.
Third-Party Services
The Software may rely on external platforms, including:
- Intuit QuickBooks APIs
- Hosting providers
- Internet and cloud services
Medical Records Corporation is not responsible for any disruptions, changes, limitations, or service outages caused by third-party providers.
Intellectual Property
The Software is licensed, not sold. All rights, title, and interest in and to the Software, including trademarks, source code, documentation, and all intellectual property, remain exclusively with Medical Records Corporation.
Fees & Billing (if applicable)
If the Software requires payment:
- All subscription or licensing fees are non-refundable unless otherwise stated.
- Failure to pay may result in suspension or termination of your access to the Software.
Termination
This Agreement remains in effect until terminated. Medical Records Corporation may terminate this Agreement immediately if:
- You breach this Agreement or misuse or abuse the Software or its related services.
Upon termination:
- You must immediately stop using the Software and you must delete all copies of the Software and associated materials from your systems.
Disclaimer of Warranties
To the fullest extent permitted by law:
- The Software is provided “AS IS” and “AS AVAILABLE.”
- Medical Records Corporation makes no warranties, either express or implied, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Accuracy of data
- Non-infringement
Use of the Software is at your sole risk.
Limitation of Liability
To the maximum extent permitted by law:
- Medical Records Corporation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption.
- In no event shall the total liability of Medical Records Corporation exceed the amount paid by you for the Software in the twelve (12) months prior to the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Medical Records Corporation and its directors, officers, employees, agents, and contractors against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of:
- Your use of the Software,
- Your violation of this Agreement,
- Your breach of any applicable laws or policies.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Illinois and the United States of America without regard to conflict-of-law principles.
Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement
This Agreement constitutes the entire agreement between you and Medical Records Corporation concerning your use of the Software and supersedes all prior agreements or communications.
